China's two-fold overall integration into SINOMACH

Approved by the State Council of China, China Second Heavy Machinery Group Co., Ltd. and China National Machinery Industry Group Co., Ltd. (SINOMACH) have undergone a joint restructuring. As part of this process, the entire property rights of both companies were transferred to SINOMACH without any compensation. The newly restructured entity now operates under the name "China Machinery Industrial Group Co., Ltd." This move marks a significant step in consolidating China's heavy machinery industry under a single, more efficient entity. So far, the number of central enterprises under the supervision of the State-owned Assets Supervision and Administration Commission of the State Council has been reduced to 115. This restructuring is part of a broader strategy to enhance efficiency, reduce redundancy, and strengthen the competitive position of state-owned enterprises in the global market. Following the reorganization, SINOMACH will leverage the dual platform to accelerate the development and manufacturing of high-end heavy equipment. It will also oversee the integration of related businesses from both SINOMACH and the previously restructured entities, promoting internal collaboration and achieving business synergy. This initiative aims to better utilize technical achievements, products, and market resources to support the growth of advanced industrial equipment. In addition, as this acquisition involves the waiver of a tender offer, the China Securities Regulatory Commission (CSRC) will need to review and approve the acquisition report without objection, thereby exempting SINOMACH from its tender offer obligations. This regulatory approval is crucial for ensuring a smooth transition and legal compliance throughout the process. According to reports, China Second Heavy Machinery Group had an operating income of 213.4 billion yuan in 2012, ranking 326th among the Fortune Global 500 companies in 2013. This highlights the scale and significance of the company before the restructuring. Overall, this strategic merger not only strengthens SINOMACH’s position in the domestic and international markets but also reflects the government’s ongoing efforts to streamline and optimize the state-owned enterprise sector.
